## Transcript

It seems rejection is a tough pill to swallow. Dollar General has officially taken the gloves off in its fight to acquire Family Dollar. Dollar General has gone hostile in its bid to buy rival Family Dollar. DG announcing this morning, it's taking its $ 80 a share offer directly to shareholders. An $ 80 per share offer that has been rejected on multiple occasions. But this hostile bid from Dollar General is just the latest news in this bidding war saga for Family Dollar. Between Dollar General and Dollar Tree. Back in July, Family Dollar agreed to an $ 8. 5 billion buyout from Dollar Tree, which comes out to about $ 74 per share.

A merger between these two companies would move Dollar General into. Second place in the low end retailer market. Which lead to a major counter offer from Dollar General, which has been rejected not once, but twice by Family Dollar, citing antitrust issues. The combination of Dollar General and Family Dollar will put almost 7, 000 more stores under one umbrella. Than a Dollar Tree and Family Dollar merger would. And while Family Dollar is concerned with what a potential merger would do in the low end retailer market, Fortune points out, Dollar General has a different rival in mind. The, the Dollar General folks say, Listen, if we put Dollar General and Family Dollar together, we actually become a real rival to Wal- Mart.

The Family Dollar side would argue, No, we're such a low end retailer, we don't actually compete with Wal- Mart. To combat antitrust concerns, Dollar General has offered a number of provisions including. Including selling 1500 stores to its competitors, and paying a 500 million dollar reverse termination fee if the merger didn't go through
